Please read these Terms and Conditions carefully before using www.bizionary.co.uk or submitting a listing. By using our website or services, you confirm that you accept these terms and agree to be bound by them. If you do not agree, please do not use our services.

1. About Us

Bizionary Ltd(“we”, “us”, “our”) operates the website www.bizionary.co.uk. We provide a business-listing service that helps UK business owners market their businesses for sale on major third-party platforms, without the need for a traditional business broker.

2. Our Services

BIZIONARY provides business brokerage, business-sale marketing and associated services to UK business owners. These services may include valuation guidance, preparation of advertisements and Information Memoranda, advertising on third-party platforms, buyer screening, confidentiality arrangements, management of enquiries and assistance with negotiations, heads of terms and completion.

A seller’s appointment of BIZIONARY as business broker is governed by a separate Business Brokerage Agreement. If there is any conflict between these website Terms and a signed Business Brokerage Agreement, the Business Brokerage Agreement will take precedence in relation to the brokerage appointment.

3. Your Responsibilities

By submitting a listing, you confirm that:

  • You are the owner of the business described, or are authorised to act on behalf of the owner.
  • All information you provide is accurate, complete and not misleading.
  • You have the legal right to sell the business and it is not subject to any restriction or dispute that prevents a sale.
  • You will promptly update us if any material information changes after submission.
  • You are at least 18 years of age and have the legal capacity to enter into a contract.

We reserve the right to refuse, edit or remove any listing that we reasonably believe contains inaccurate, misleading or inappropriate content.

4. Accuracy of Information

You are solely responsible for the accuracy and completeness of all information submitted in your listing. We will use reasonable care when preparing your listing from the information you provide, but we are not liable for errors or omissions arising from inaccurate or incomplete information supplied by you.

We do not verify the financial information, trading history or valuations provided by sellers. Prospective buyers are advised to conduct their own due diligence.

5. Fees and Payment

There is no upfront fee for BIZIONARY’s standard brokerage service.

Where a seller appoints BIZIONARY under a Business Brokerage Agreement, the Success Fee is the greater of:

  • (a) 5% of the Total Consideration; or
  • (b) £1,500,

plus VAT at the applicable rate.

The Success Fee is payable only when a transaction successfully completes, subject to the detailed provisions of the signed Business Brokerage Agreement. No Success Fee is payable if no qualifying transaction completes.

Any separately agreed service or additional fee will be confirmed in writing before the relevant service is provided.

6. Listing Publication

We aim to publish listings on the agreed platforms within 3 business days of receiving all required information and payment. We cannot guarantee specific publication dates, as these may depend on third-party platforms.

We list your business on third-party platforms (such as BusinessesForSale.com, Rightbiz, and Daltons Business). Continued display on those platforms is subject to their own terms and availability. We are not responsible for any decision by a third-party platform to remove or suspend a listing.

7. Confidentiality

We understand that selling a business is a sensitive matter. We will not disclose your personal or business information to any third party except:

  • As necessary to publish your listing on agreed platforms.
  • Where required by law or a regulatory authority.
  • With your express prior consent.

We recommend that you do not disclose the trading name or full financial details of your business in the public-facing listing until you have received a signed Non-Disclosure Agreement (NDA) from any prospective buyer.

8. Brokerage Relationship

BIZIONARY may act as a seller’s business broker where the seller has entered into a Business Brokerage Agreement. BIZIONARY may market the business, manage enquiries and assist with negotiations, but does not have authority to bind the seller to a transaction. The seller remains responsible for deciding whether to accept an offer and must obtain their own legal, tax, accounting and financial advice.

9. Limitation of Liability

To the maximum extent permitted by law, Bizionary Ltd shall not be liable for:

  • Any loss of profits, revenue or business opportunity.
  • Any indirect, consequential or special loss arising from your use of our services.
  • The conduct, actions or representations of prospective buyers who contact you through our listings.
  • Any decision made by a third-party platform regarding your listing.

Our total liability to you in connection with any claim arising from our services shall not exceed the fees paid by you for the relevant listing.

Nothing in these terms limits or excludes our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Intellectual Property

You retain ownership of all content you submit (business descriptions, photographs, financial summaries, etc.). By submitting content to us, you grant Bizionary Ltd a non-exclusive, royalty-free licence to use, publish and reproduce that content solely for the purpose of providing the listing services described.

All other content on www.bizionary.co.uk — including design, text, graphics and software — is owned by or licensed to Bizionary Ltd and may not be reproduced without our written consent.

11. Privacy

We collect and process personal data in accordance with UK GDPR and the Data Protection Act 2018. By using our services, you consent to the collection and use of your data as described in our Privacy Policy. We will never sell your personal data to third parties.

12. Cancellation and Removal

You may request removal of your listing at any time by emailing us at hello@bizionary.co.uk. We will remove your listing from our systems and request removal from third-party platforms within 5 business days. Please note that third-party platforms may have their own timelines for processing removal requests.

Fees already paid are non-refundable upon removal unless otherwise agreed in writing.

13. Changes to These Terms

We may update these Terms and Conditions from time to time. The latest version will always be available at www.bizionary.co.uk/terms. Your continued use of our services after any changes constitutes acceptance of the updated terms. For significant changes, we will notify registered users by email where practicable.

14. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
